Terms and Conditions of Sale

These terms apply to products and services sold by Latimer Enterprise LLC, a California limited liability company, including through Black Cactus Co-Working, Latimer Digital and Terence Latimer ("we" or "us"). By placing an order, booking, or paying an invoice, you agree to these terms. A signed proposal or contract for a specific engagement takes priority over these terms where they differ.

  1. Pricing. Prices are shown in US dollars, plus sales tax where required. We may correct pricing errors before an order is fulfilled.
  2. Payment. Online orders are paid at checkout. Invoices are due within 15 days of the invoice date unless the invoice says otherwise. Memberships and recurring services bill monthly until cancelled.
  3. Late payment. Balances more than 15 days past due may incur a late fee of 1.5% per month, up to the maximum allowed by law. We may pause services while an account is past due.
  4. Coworking and meeting rooms. Day passes are valid on the date purchased. Meeting room bookings may be changed or cancelled for a full refund with at least 48 hours' notice. Members and guests agree to the house rules posted at the space.
  5. Memberships. You may cancel a membership with 30 days' written notice to hello@cactuspace.com. Fees already paid for the current period are not refunded.
  6. Virtual mailbox and business address. Mail service requires a completed, notarized USPS Form 1583 and valid identification before we can receive mail on your behalf, and is subject to USPS rules for commercial mail receiving agencies. Mail forwarding and postage are billed separately.
  7. Retreats and events. A 50% deposit confirms your date. Deposits are refundable if you cancel at least 30 days before the event and non-refundable after that. The balance is due 7 days before the event.
  8. Consulting and digital services. Scope, deliverables, timeline and fees are set in the proposal or statement of work. Work outside that scope is billed separately after your approval. We make reasonable efforts to meet agreed timelines but do not guarantee specific business results such as rankings, leads or revenue.
  9. Digital products. Templates, planners, guides and courses are licensed for use by the purchaser and their own business, and may not be resold, shared or redistributed. Because they are delivered immediately, sales are final, except that we will replace or refund a file that is defective or not delivered if you contact us within 14 days of purchase.
  10. Ownership. We keep ownership of our pre-existing materials, frameworks and templates. On full payment, you own the final deliverables created specifically for you, unless the proposal states otherwise.
  11. Limitation of liability. To the extent permitted by law, our total liability for any claim is limited to the amount you paid for the product or service involved, and we are not liable for indirect or consequential losses.
  12. Disputes. Please contact us first so we can try to resolve any issue informally. Billing disputes must be raised within 30 days of the invoice date. These terms are governed by the laws of the State of California, with venue in San Bernardino County.
  13. Changes. We may update these terms. The version in effect when you place an order or sign a proposal applies to that order.
